Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and GeoLocator Technologies Inc. ("GeoLocator," "we," "us," or "our") concerning your access to and use of our visual intelligence platform and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Use of Services

Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this age requirement.

Account Registration

To access certain features of the Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services in any way that violates applicable laws or regulations
• Infringe upon or violate the rights of others
• Upload content that you do not have the right to use
• Use the Services for surveillance or stalking purposes
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Use automated systems to access the Services without permission
• Reverse engineer or attempt to extract source code

Intellectual Property Rights

Our Property

The Services and all related content, features, and functionality are owned by GeoLocator and are protected by international copyright, trademark, patent, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes only.

Your Content

You retain all rights to the images and content you upload to the Services. By uploading content, you grant us a limited license to process, analyze, and display that content solely for the purpose of providing the Services to you. We do not claim ownership of your content.

Service Limitations and Accuracy

Our geolocation services provide estimates based on visual analysis and machine learning models. While we strive for accuracy, we cannot guarantee that results will always be completely accurate or reliable. Results should be used as investigative tools and verified through additional methods.

You acknowledge that:

• Geolocation results are estimates and may contain errors
• Results should not be the sole basis for critical decisions
• We are not responsible for decisions made based on our results
• Service availability may be interrupted for maintenance or updates

Fees and Payment

Certain features of the Services may require payment of fees. You agree to:

• Pay all applicable fees as described in your service plan
• Provide current, complete, and accurate billing information
• Promptly update your payment information if it changes
• Pay all charges incurred under your account

We reserve the right to change our fees at any time, with notice to you. Continued use of the Services after a fee change constitutes acceptance of the new fees.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GEOLOCATOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will meet your requirements
• The Services will be uninterrupted, timely, secure, or error-free
• Results obtained from the Services will be accurate or reliable
• Any defects will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOLOCATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers
• Any interruption or cessation of the Services
• Any bugs, viruses, or similar issues transmitted through the Services
• Any errors or omissions in content or results

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless GeoLocator and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content.

Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and content
• You remain liable for all charges incurred prior to termination

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
